Terms & Conditions

PLEASE READ THESE TERMS CAREFULLY. These Terms and Conditions constitute a legally binding agreement between you and The Privée Collection S.R.L.. By accessing or using the Platform, making a booking, or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Platform.

1. Definitions

  • "Platform" means the website thepriveecollection.com, associated mobile applications, and all related services, tools, and features
  • "Company", "we", "us", or "our" refers to The Privée Collection S.R.L., a company incorporated under the laws of the Dominican Republic
  • "User", "you", or "your" refers to any individual or entity accessing or using the Platform, including Guests, Property Owners, and Visitors
  • "Guest" means any individual who makes or is included in a Booking through the Platform
  • "Property Owner" or "Owner" means any individual or entity that lists a property on the Platform through a management agreement with the Company
  • "Property" means any vacation rental, residential property, yacht, or real estate listing available through the Platform
  • "Booking" or "Reservation" means a confirmed arrangement for the use of a Property for specified dates
  • "Services" means all services provided by the Company including property management, concierge services, booking facilitation, and related hospitality services
  • "Content" means all text, images, videos, graphics, data, and other materials available on or through the Platform
  • "Add-on Services" means supplementary services available for purchase including airport transfers, chef services, spa treatments, excursions, and similar experiences

2. Scope & Acceptance

These Terms govern your access to and use of the Platform and all Services provided by The Privée Collection. By creating an account, making a booking, browsing the Platform, or otherwise using our Services, you represent and warrant that:

  • You have read, understood, and agree to be bound by these Terms
  • You have the legal capacity and authority to enter into this agreement
  • You will comply with all applicable local, national, and international laws and regulations
  • If acting on behalf of an organization, you have the authority to bind that organization to these Terms

These Terms apply in addition to, and do not supersede, any specific terms in individual booking confirmations, rental agreements, or property management contracts.

3. Eligibility

To use our Platform and Services, you must:

  • Be at least 18 years of age, or the age of legal majority in your jurisdiction
  • Be legally capable of entering into binding contracts
  • Not be prohibited from using the Platform under applicable law
  • Provide accurate, current, and complete registration information
  • Not have been previously suspended or removed from the Platform

The primary Guest (the individual making the Booking) must be at least 25 years of age for luxury property rentals, unless otherwise agreed in writing.

4. Account Registration

4.1 Account Creation

Certain features of the Platform require account registration. You may register using your email address and password, or through supported social authentication providers (Google Sign-In). You agree to provide accurate and complete information and to keep your account credentials secure.

4.2 Account Security

  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must immediately notify us of any unauthorized use of your account
  • We recommend enabling two-factor authentication (2FA) for enhanced account security
  • We reserve the right to suspend or terminate accounts suspected of unauthorized access or fraudulent activity

4.3 Account Termination

You may close your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to access the Platform ceases, but these Terms continue to apply to your prior use.

5. Bookings & Reservations

5.1 Booking Process

All bookings are subject to availability and confirmation by The Privée Collection. Submitting a booking request does not guarantee confirmation. A booking is confirmed only when:

  • The booking request has been submitted with all required information
  • Payment has been successfully processed (initial deposit or full payment)
  • You have received a written booking confirmation from us via email
  • Any required identity verification has been completed

5.2 Booking Modifications

Requests to modify confirmed bookings (dates, guest count, property) must be submitted in writing to our reservations team. Modifications are subject to availability and may result in price adjustments. We will make reasonable efforts to accommodate modification requests but cannot guarantee availability.

5.3 Minimum Stay Requirements

Each Property may have minimum and maximum night requirements that vary by season, property type, and availability. These requirements are displayed on the Property listing page and must be met for a booking to be confirmed.

5.4 Guest Count & Occupancy

The total number of guests (including children) must not exceed the maximum occupancy specified for the Property. Unauthorized additional guests may result in booking cancellation, additional charges, or eviction without refund.

6. Pricing & Payment

6.1 Pricing

  • All prices displayed on the Platform are in the currency indicated and are subject to change without notice until a booking is confirmed
  • Prices may vary based on season, dates, length of stay, number of guests, and applicable promotions or discounts
  • Additional fees may apply including cleaning fees, extra guest fees, pet fees, linen fees, and applicable taxes
  • Security deposits are separate from the rental price and are described in Section 10

6.2 Payment Terms

  • A deposit of 50% of the total booking amount is required at the time of booking confirmation
  • The remaining balance is due 30 days prior to the check-in date
  • For bookings made within 30 days of check-in, full payment is required at the time of booking
  • Payments are processed securely through Stripe. We accept major credit cards (Visa, Mastercard, American Express) and bank transfers
  • All payments are non-refundable except as specified in our Cancellation Policy (Section 7)

6.3 Taxes & Duties

Prices may be subject to applicable taxes including ITBIS (Dominican Republic Value Added Tax), tourism taxes, municipal taxes, and any other applicable governmental charges. The applicability and amount of taxes will be disclosed prior to booking confirmation.

6.4 Currency

Prices may be displayed in multiple currencies for convenience. The actual charge may vary based on exchange rates at the time of transaction. Any currency conversion fees charged by your bank or card issuer are your responsibility.

7. Cancellation & Refund Policy

7.1 Guest Cancellations

  • More than 60 days before check-in: Full refund minus a 10% administrative fee
  • 30 to 60 days before check-in: 50% refund of the total booking amount
  • 15 to 29 days before check-in: 25% refund of the total booking amount
  • Less than 15 days before check-in: No refund
  • No-show: No refund; the full booking amount is forfeited

Cancellation requests must be submitted in writing via email. The cancellation date is determined by the date the written request is received.

7.2 Company Cancellations

In the rare event that we must cancel a confirmed booking (due to property unavailability, force majeure, or safety concerns), we will offer you either a full refund or an alternative property of equivalent or superior quality. We are not liable for incidental expenses, travel costs, or consequential damages resulting from cancellation.

7.3 Refund Processing

Approved refunds will be processed within 14 business days to the original payment method. Processing times may vary depending on your financial institution.

8. Guest Responsibilities

As a Guest, you agree to:

  • Treat the Property, its furnishings, appliances, and amenities with reasonable care and respect
  • Comply with all property rules, house manuals, and check-in/check-out procedures
  • Report any damage, malfunction, or maintenance issues immediately to the Company
  • Not exceed the maximum occupancy or host unauthorized visitors or events
  • Not use the Property for any unlawful purpose, commercial activity, or purpose other than personal vacation accommodation
  • Comply with applicable noise ordinances, community rules, and HOA regulations
  • Leave the Property in a reasonably clean and orderly condition upon checkout
  • Not make any alterations, modifications, or improvements to the Property
  • Ensure that all members of your party comply with these Terms and property rules
  • Provide accurate guest information including all guest names for properties within gated communities or resorts

9. Property Rules & Conduct

9.1 General Rules

  • Smoking is strictly prohibited inside all Properties unless explicitly stated otherwise
  • Pets are permitted only in designated pet-friendly Properties and subject to applicable pet fees
  • Events, parties, and large gatherings are prohibited unless prior written approval is obtained
  • Maximum noise levels must be observed, particularly between 10:00 PM and 8:00 AM
  • Use of pools, jacuzzis, and recreational facilities is at your own risk and subject to posted safety rules
  • Guests must not tamper with security systems, cameras, locks, or fire safety equipment

9.2 Check-In & Check-Out

  • Standard check-in time is 3:00 PM and checkout time is 10:00 AM unless otherwise specified
  • Early check-in and late checkout may be available upon request, subject to availability and potential additional charges
  • Key handover instructions will be provided in your booking confirmation
  • Lost keys may result in lock replacement charges deducted from the security deposit

10. Security Deposits

  • A security deposit may be required for each booking, the amount of which is specified in the booking confirmation
  • The security deposit is held to cover potential damages, excessive cleaning, missing items, rule violations, or other breaches of these Terms
  • The security deposit will be refunded within 14 days following checkout, after a satisfactory property inspection
  • If damages or violations are identified, the cost of repair, replacement, or penalties will be deducted from the security deposit
  • If damages exceed the security deposit amount, the Guest is liable for the additional costs and agrees to pay such amounts upon notification
  • Disputes regarding security deposit deductions must be raised within 7 days of receiving the deduction notice

11. Insurance & Liability

11.1 Travel Insurance

We strongly recommend that all Guests obtain comprehensive travel insurance covering trip cancellation, interruption, medical emergencies, personal liability, and baggage loss. The Privée Collection is not an insurance provider and accepts no liability for uninsured losses.

11.2 Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or Services
  • The Company's total aggregate liability for any claims arising from these Terms shall not exceed the total amount paid by you for the specific Booking giving rise to the claim
  • The Company is not liable for any loss, theft, or damage to personal belongings or vehicles during your stay
  • The Company is not liable for disruptions to utilities, internet, or amenities caused by third-party service providers, weather, or circumstances beyond our control
  • The Company does not guarantee the accuracy of Property descriptions, photographs, or amenity listings, though we make every effort to ensure accuracy

12. Property Owner Terms

12.1 Management Agreement

Property Owners who list properties on the Platform do so pursuant to a separate Property Management Agreement. These Terms supplement but do not supersede the terms of individual management agreements.

12.2 Owner Responsibilities

  • Maintaining the Property in a safe, clean, and habitable condition
  • Ensuring the Property complies with all applicable building codes, safety regulations, and licensing requirements
  • Providing accurate and current property information, photographs, and amenity descriptions
  • Maintaining adequate property insurance including public liability coverage
  • Honoring confirmed bookings and ensuring property availability as committed
  • Promptly reporting any issues that may affect guest safety or comfort

12.3 Commission & Payouts

The Company retains a commission on each booking as specified in the Property Management Agreement. Owner payouts are processed according to the schedule and terms defined in the individual management agreement, subject to applicable deductions for expenses, damages, and fees.

13. Intellectual Property

  • All Content on the Platform, including but not limited to text, graphics, logos, images, videos, software, and design elements, is the property of the Company or its licensors and is protected by international copyright, trademark, and intellectual property laws
  • The "Privée Collection" name, logo, and associated branding are registered trademarks of the Company
  • You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any Content without prior written authorization
  • Limited, non-exclusive, non-transferable license is granted to access and use the Platform for personal, non-commercial purposes only
  • Any unauthorized use of the Platform's Content may violate copyright, trademark, and other applicable laws and may result in legal action

14. User Content

If you submit, upload, or post any content to the Platform (reviews, photographs, feedback), you:

  • Grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, display, and distribute such content in connection with our Services
  • Represent that you own or have the necessary rights and permissions to submit such content
  • Agree not to submit content that is defamatory, obscene, fraudulent, infringing, or otherwise violates applicable law or these Terms
  • Acknowledge that we may remove or refuse to publish any user content at our sole discretion
  • Waive any moral rights in connection with submitted content to the extent permitted by law

15. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Using the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • Attempting to gain unauthorized access to any part of the Platform, other accounts, or systems connected to the Platform
  • Interfering with or disrupting the integrity, performance, or security of the Platform
  • Using automated tools (bots, scrapers, crawlers) to access or extract data from the Platform
  • Circumventing any security measures, access controls, or technical protections
  • Impersonating any person or entity, or falsely representing your affiliation
  • Engaging in price manipulation, fraudulent bookings, or payment fraud
  • Uploading or transmitting viruses, malware, or other harmful code
  • Harvesting or collecting email addresses or personal information of other users
  • Using the Platform to send unsolicited commercial communications (spam)
  • Subletting, re-listing, or sub-licensing a booked Property without prior written consent
  • Taking any action that imposes an unreasonable or disproportionate load on our infrastructure

16. Disclaimers & Limitations

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses
  • We do not guarantee the accuracy, completeness, or timeliness of any information on the Platform
  • We do not endorse or guarantee any third-party services, products, or content accessible through the Platform
  • Property photographs and descriptions are provided for illustrative purposes and may not reflect the exact current condition
  • Weather, natural conditions, and environmental factors are beyond our control and do not constitute grounds for refund

17. Indemnification

You agree to indemnify, defend, and hold harmless The Privée Collection S.R.L., its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform or Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; (d) any damage to property or injury to persons arising from your stay; or (e) any content you submit to the Platform.

18. Dispute Resolution

18.1 Informal Resolution

Before initiating formal dispute resolution proceedings, you agree to contact us to attempt to resolve any dispute informally. We will make good-faith efforts to resolve disputes within 30 days of notification.

18.2 Mediation

If informal resolution is unsuccessful, the parties agree to submit the dispute to mediation before a mutually agreed mediator in La Romana, Dominican Republic. The costs of mediation shall be shared equally.

18.3 Arbitration

Any dispute not resolved through mediation shall be finally resolved by binding arbitration administered in accordance with the rules of the Chamber of Commerce of the Dominican Republic. The arbitration shall take place in La Romana, Dominican Republic, and shall be conducted in English or Spanish at the election of the initiating party. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

18.4 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR ANY CONSOLIDATED OR REPRESENTATIVE PROCEEDING. DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS.

19. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: natural disasters (hurricanes, earthquakes, floods), pandemics, epidemics, acts of war or terrorism, civil unrest, government actions or orders, embargoes, sanctions, power outages, telecommunications failures, labor disputes, or any other force majeure event. The affected party shall provide prompt notice and make reasonable efforts to mitigate the effects of such event.

20. Severability & Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of the Company.

21. Amendments

We reserve the right to amend these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform at least 30 days before taking effect. Your continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised Terms. If you do not agree to the amended Terms, you must discontinue use of the Platform.

22. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Dominican Republic, without regard to its conflict of law provisions. Any legal proceedings arising from or relating to these Terms shall be brought exclusively in the courts of La Romana, Dominican Republic, and you consent to the personal jurisdiction and venue of such courts.

For Guests residing in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence.
